This terms of sale agreement (this “Terms of Sale”) is a legal contract between you, an
individual user or a single legal entity (“you”, “user” “User” or, collectively, “Users”,
“users” or “Broadcasters”), and LiveVibes Media FZ-LLC, a limited liability company
incorporated in Ras Al Khaimah Economic Zone (“LiveVibes” or “we”), regarding your use
of a social network, streaming platform and digital performance platform consisting of web
sites, services, software applications, embeddable players, and syndicated ‘widgets’ (the
“LiveVibes Service”) provided by LiveVibes, and the purchase of product of services from
LiveVibes. The LiveVibes Terms of Service is hereby incorporated into this Terms of Sale
by reference. Any terms not defined in this Terms of Sale have their respective meaning as
set forth in the Terms of Service.
THESE TERMS OF SALE GOVERN YOUR PURCHASES FROM LIVEVIBES. EVERY TIME YOU MAKE A PURCHASE THROUGH THE LIVEVIBES SERVICE, YOU ACKNOWLEDGE AND ACCEPT THESE TERMS OF SALE.
By making a purchase through the LiveVibes Services, you are purchasing a limited, nontransferable, revocable license to participate in the LiveVibes Service. This license may be terminated immediately if your account is terminated for any reason, in LiveVibes’s sole and absolute discretion, or if LiveVibes discontinues providing the LiveVibes Service.

1. REFUND POLICY
You agree that purchase of any LiveVibes Service is final, non-refundable, and nonreturnable except in LiveVibes’s sole and absolute discretion.
2. MISCELLANEOUS
NO WARRANTY
LIVEVIBES MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH
RESPECT TO THE LIVEVIBES SERVICE.
Amendments
LiveVibes may change this Terms of Sale, in whole or in part. Notice of all changes to this
Terms of Sale shall be provided by posting such changes on the LiveVibes web site. Your
continued use of the LiveVibes Service after the posting of changes constitutes your
binding acceptance of any changes.
Governing Law
These Terms of Sale will be governed by and construed in accordance with the laws of
England and Wales, without giving effect to any principles of conflicts of law.
Jurisdiction
You agree that any action at law or in equity arising out of or relating to these Terms of
Sale or LiveVibes will be filed only in the the Courts of the Dubai International Financial
Centre (DIFC), and you hereby consent and submit to the personal and exclusive
jurisdiction of such courts for the purposes of litigating any such action.
Severability
If any provision of the Terms of Sale is held to be unlawful, void, or for any reason
unenforceable, then that provision will be limited or eliminated from the Terms of Sale to
the minimum extent necessary and will not affect the validity and enforceability of any
remaining provisions.
Assignment
The Terms of Sale, and any rights and licenses granted hereunder, may not be transferred
or assigned by you, but may be assigned by LiveVibes without restriction. Any assignment
attempted to be made in violation of the Terms of Sale shall be void.
Survival
Upon termination of the Terms of Sale, any provision, which by its nature or express terms
should survive, will survive such termination or expiration.
The LiveVibes Service is offered by LiveVibes Media FZ-LLC, a limited liability company
